Position Summary

Provide counsel and support to the University's schools and administrative areas. The Office of General Counsel has specific needs within the corporate area including drafting, reviewing, and negotiating a wide range of contracts and managing corporate transactions including reviewing and coordinating execution of documents and filings; advising on a host of regulatory, compliance, and risk management issues affecting a complex, global research University, including necessary government filings; addressing legal matters relating to the University’s global sites as well as other international initiatives and activities. Advise on partnerships, affiliations, exchanges, joint programs, and research activities; and supporting governance for both the University and its affiliates including organizing and attending Board and/or committee meetings, taking meeting minutes, and preparing agendas and resolutions; and perform legal research and provide advice and counseling on a variety of topics.

 

The position may supervise, on a project basis, outside counsel, legal assistants, paralegals, and interns. This position will also provide assistance to the General Counsel and Deputy General Counsel in managing legal functions of the supervisory unit by providing leadership and delegated operational oversight of activities, legal services and counsel on policy and procedures for the University.

Qualifications

Required Education:
Juris Doctorate (J.D.) New York State Bar Membership

Required Experience:
10+ years related experience at a major law firm working on corporate and transactional matters, including substantial hands-on experience drafting and negotiating contracts and advising on policy and compliance issues.

Required Skills, Knowledge and Abilities:
Strong academic and professional credentials.

Excellent drafting and negotiating skills.

Good business judgment and creative problem-solving skills.

Ability to work collegially with diverse personnel and to handle multiple matters simultaneously, prioritize effectively, and succeed in a fast-paced and challenging environment.

Strong skills as a corporate and transactional attorney, including significant experience with contract drafting and negotiating, corporate governance, and interpretation of complex laws and regulations.

Interest in and ability to quickly assimilate new areas of law.

Strong academic and professional credentials, excellent oral and written communication and creative problem-solving skills, the ability to work collegially with diverse personnel, demonstrated judgment and discretion, strong analytical skills, highly ethical and a team player, cultural intelligence and sensitivity.

Must be committed to the mission of the University and interested in legal issues relating to universities and/or large non-profit organizations.

Additional Information

In compliance with NYC's Pay Transparency Act, the annual base salary range for this position is USD $210,000.00 to USD $260,000.00. New York University considers factors such as (but not limited to) scope and responsibilities of the position, candidate's work experience, education/training, key skills, internal peer equity, as well as, market and organizational considerations when extending an offer. This pay range represents base pay only and excludes any additional items such as incentives, bonuses, clinical compensation, or other items.
